This End User Agreement ("Agreement") is a binding agreement between you (the "User") and galleri5 Technologies Private Limited ("galleri5," "we," "us") governing your licence to use galleri5 AI Studio (the "Service") and your obligations when creating and using content with it. It supplements our Terms of Use and Privacy Policy. On matters of usage rights and responsibilities, this Agreement governs. By using the Service, you accept this Agreement.
Subject to your compliance with this Agreement and the Terms of Use, galleri5 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own creative, business, or commercial purposes.
You will not, and will not permit anyone to:
Definitions. Your "Inputs" are the prompts, text, images, files, and reference materials you submit. Your "Outputs" are the results the Service generates from them.
No galleri5 Ownership. galleri5 claims no ownership of your Inputs or Outputs. To the maximum extent permitted by applicable law and by the terms of the applicable Third-Party Providers, rights in your Outputs belong to you. You acknowledge that the legal status of rights in AI-generated material varies by jurisdiction and may be subject to limits on copyrightability; galleri5 makes no warranty that any Output is protectable or free of third-party rights.
Your Responsibility. You are solely responsible for your Inputs and for your use of your Outputs. You must hold all rights, licences, consents, and permissions necessary for any material you submit.
Non-Infringement. You are responsible for ensuring that your Inputs, and your reproduction, distribution, publication, or commercial exploitation of any Output, do not infringe the intellectual-property rights, rights of publicity or privacy, or other rights of any third party. This expressly includes Inputs that reference or seek to reproduce copyrighted works, trademarks, brands, fictional characters, or any identifiable person.
Upstream vs. Your Use. The models that generate Outputs are built and trained by Third-Party Providers; any question concerning the data on which a model was trained relates to that provider and its policies, and is not within galleri5's control. Responsibility for what you submit and how you use what is generated rests with you.
In plain terms: What you make is yours — but making sure you have the right to use what you put in, and the right to use what comes out, is on you, not galleri5.
Consents Required. If you create, upload, or generate content that depicts, resembles, or simulates a real person's face, likeness, voice, or persona, you represent and warrant that you have obtained all rights, releases, and consents required, and that the use complies with all applicable rights of publicity, privacy, biometric-data, and data-protection laws.
Your Sole Responsibility. You are solely responsible for any content involving real persons, including any synthetic or "deepfake" depiction, and for ensuring it is not defamatory, deceptive, or otherwise unlawful, and is disclosed as synthetic where required by law.
No Rights Granted. galleri5 grants you no rights in the name, likeness, voice, or persona of any person, and disclaims all liability arising from your generation or use of such content.
Not Pre-Cleared. Outputs are not pre-cleared for any commercial, advertising, broadcast, or other public use. galleri5 does not represent that any Output is original, non-infringing, or free of third-party claims.
Your Clearance Obligation. Before using any Output in an advertisement, campaign, film, broadcast, or other commercial or public context, you are responsible for conducting your own rights review and obtaining any clearances, licences, or approvals required, including in respect of music, trademarks, talent, likeness, and third-party intellectual property.
Nature of the Technology. Generative models produce results from patterns learned during training. As a result, similar Inputs — whether yours or those of other Users — may produce similar or near-identical Outputs. Such similarity is a normal characteristic of the technology, does not affect your ownership of your Output, and does not by itself indicate misuse of anyone's content.
Not Caused by galleri5. galleri5 does not share your Inputs or Outputs with other Users and does not reuse your content to fulfil another User's request. Any similarity arises from the shared behaviour of the underlying model, not from any act of galleri5.
You will not use the Service to create, generate, or distribute content that:
Because generations are processed by Third-Party Providers, content prohibited by an applicable provider's policy may be refused or blocked even where not listed above. Each provider's usage policy applies in addition to this Agreement.
Reasonable Efforts Only. The Service and the Third-Party Providers employ safety filters, content controls, and other guardrails intended to prevent certain categories of content. These measures are provided on a reasonable-efforts basis only. galleri5 does not warrant that any safety measure is complete, effective, or incapable of being bypassed, and their existence does not transfer to galleri5 any responsibility for the content you choose to generate or use.
No Circumvention. You will not attempt to defeat, evade, disable, manipulate, or circumvent any safety filter, content control, usage restriction, or other guardrail of the Service or of any Third-Party Provider, whether by prompt manipulation, obfuscation, jailbreaking, or any other means.
Your Sole Responsibility. If you bypass, attempt to bypass, or otherwise cause any safety measure to be circumvented — and irrespective of whether a safety measure fails, is incomplete, or does not operate as intended — you are solely and fully responsible for the resulting Inputs and Outputs and for any use, distribution, or consequence of them. Any such content is generated at your direction and election, and galleri5 bears no responsibility or liability for it. Circumventing or attempting to circumvent any safety measure is a material breach of this Agreement, and the indemnity in Section 12 applies to any claim arising from it.
In plain terms: The models have guardrails, but they aren't perfect. If you get around them — or they simply don't catch something — whatever you generate and do with it is your responsibility, not galleri5's.
You represent and warrant, on an ongoing basis, that:
Outputs may be inaccurate, incomplete, or unexpected. They do not constitute professional, legal, financial, medical, or other regulated advice, and must not be relied upon as such. Any reliance on, or use of, an Output is at your own risk, and you are responsible for independently verifying any Output before use.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless galleri5 and its directors, officers, employees, and suppliers from any claim, demand, damage, liability, cost, or expense (including reasonable legal fees) arising out of or relating to: (i) your Inputs; (ii) your use, distribution, or commercial exploitation of any Output; (iii) any content involving a real person's likeness, voice, or persona created or used by you; (iv) your circumvention or attempted circumvention of any safety measure; (v) your breach of this Agreement, the Terms of Use, or any law; or (vi) your infringement of any third-party right.
As Is. To the maximum extent permitted by law, the Service and all Outputs are provided "as is" and "as available", without warranty of any kind. The disclaimers, availability terms, third-party and force-majeure provisions, and the limitation of liability set out in the Terms of Use apply equally to this Agreement and are incorporated by reference.
No Liability for Your Content. Without limiting those provisions, galleri5 is not liable for any claim arising from content you generate involving third-party intellectual property or real persons, from your circumvention or attempted circumvention of any safety measure, from your use of Outputs without obtaining required clearances, or from the acts or policies of any Third-Party Provider.
Term. This licence terminates automatically if you breach this Agreement, and galleri5 may suspend or terminate your access as described in the Terms of Use. On termination, you must cease using the Service; provisions relating to ownership, responsibility, representations, indemnification, disclaimers, and limitation of liability survive.
General. This Agreement is governed by the laws of India and subject to the governing-law, venue, and dispute provisions of the Terms of Use. If any provision is unenforceable, the remainder remains in effect. This Agreement, with the Terms of Use and Privacy Policy, is the entire agreement on its subject matter.
