Welcome, and thank you for your interest in galleri5 Technologies Private Limited ("galleri5," "we," "us," or "our"). This Terms of Use Agreement ("Terms") describes the terms and conditions that apply to your use of galleri5 AI Studio and the services, content, and resources available through it, including any application programming interfaces we make available (collectively, the "Service").

Please read these Terms carefully. By accessing or using the Service in any way, you represent that you have read, understood, and agree to be bound by these Terms, our End User Agreement and our Privacy Policy, that you are of legal age to form a binding contract, and that you are not barred from using the Service under applicable law. If you do not agree, you may not access or use the Service.

1. Use of the Service

1.1

Scope. The Service and its content are protected by applicable intellectual-property laws. Your right to access and use the Service is subject to these Terms. If you access the Service on behalf of an entity, you represent that you have authority to bind that entity, and references to "you" include that entity. You also consent to our Privacy Policy, incorporated by reference.

1.2

Licence. Subject to your compliance with these Terms, galleri5 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service, and any APIs we make available, solely for your own personal or internal business purposes. The full terms of this licence and your usage obligations are set out in the End User Agreement.

1.3

Orchestration. The Service operates as an orchestration layer. We coordinate your creative workflow and route your generation requests to independent third-party artificial-intelligence providers (each a "Third-Party Provider") that produce the resulting content ("Outputs") from the material you submit ("Inputs"). We do not develop or train the underlying foundation models.

1.4

Updates. The Service is evolving. We may update, add, or remove features, and may require you to install updates, with or without notice. Any future release or addition to the Service is subject to these Terms.

2. Registration

2.1

Registering. To access certain features you may be required to register an account ("Account"). You must be at least 18 years of age to use the Service.

2.2

Registration Data. You shall provide true, accurate, current, and complete information, and keep it updated.

2.3

Your Account. You are responsible for all activity under your Account and for keeping your credentials secure. You may not share your Account, create an Account using a false identity, or use the Service if previously banned. Notify us immediately of any unauthorised use. We may suspend or terminate Accounts that contain false information or that we reasonably believe are misused.

3. Payments, Subscriptions and Credits

3.1

Free signup; paid options. Creating an account is free. We also offer paid subscription plans and a credits system. You do not need a subscription to purchase or use credits. The features, inclusions, and prices of our plans and credits may change over time, and any changes will apply on a going-forward basis with notice where required.

3.2

Payments and renewal. Paid subscriptions and credit purchases are billed in advance at the price, billing period, currency, and taxes shown at checkout. Payments are securely processed by Razorpay or another authorised payment processor; galleri5 does not store full card, UPI, or banking credentials. Unless stated otherwise at purchase, subscriptions renew automatically for successive periods until you cancel.

3.3

Cancellation. You may cancel a subscription at any time. When you cancel, your subscription will not renew for the next period, and you will continue to have access to the paid features until the end of your current paid period. See our Cancellation Policy for the cancellation process and its effects.

3.4

Credits. Credits provided free of charge, including credits under a free trial or free plan, are valid for a limited period (for example, 30 days) and any unused balance expires at the end of that period. Credits that you purchase, whether as part of a subscription or separately, do not expire. Credits have no cash value, are not transferable, and cannot be exchanged for money.

3.5

Refunds. Except where required by law or expressly stated in our Refund Policy, payments for subscriptions and credits are non-refundable. Refund requests must be sent to aistudio@galleri5.com with the transaction details within the time stated in that policy.

4. Responsibility for Content

4.1

Your Content. You acknowledge that you, and not galleri5, are entirely responsible for all Inputs you submit and for your use of all Outputs you generate (together, "Your Content"). You are solely responsible for ensuring that Your Content, and your use of it, is lawful and does not infringe the rights of any third party. Your detailed responsibilities regarding copyright, likeness, commercial clearance, and acceptable use are set out in the End User Agreement.

4.2

Storage. We store Your Content securely so that it is available to you within your Account, as described in our Privacy Policy. We may set reasonable limits on storage, file size, and processing capacity.

5. Ownership

5.1

The Service. Except with respect to Your Content, galleri5 and its suppliers and licensors own all rights, title, and interest in the Service, including its software, design, and trademarks. You shall not remove or obscure any proprietary notices. For clarity, "the Service" does not include your Inputs or Outputs, which are addressed in Sections 5.2 to 5.4, and nothing in this Section 5.1 gives galleri5 any ownership of, or rights in, the content you generate.

5.2

Your Content. galleri5 does not claim ownership of your Inputs or Outputs. When you submit Inputs, you represent that you own or have sufficient rights to do so.

5.3

Limited Licence to Operate. You grant galleri5 only the limited, non-exclusive licence necessary to host, process, transmit, and store your Inputs and Outputs in order to operate and provide the Service to you, perform the generations you request, maintain your history for your own access, and provide support and security.

5.4

Inputs and Outputs; No Training. To the maximum extent permitted by applicable law and by the terms of the applicable Third-Party Providers, rights in your Outputs belong to you, and galleri5 does not restrict your use of Outputs for commercial purposes. galleri5 does not use your Inputs or Outputs to train, fine-tune, develop, or improve any artificial-intelligence model, and does not use Your Content for marketing or promotional purposes. We do not sell Your Content or share it with other users. Whether any Third-Party Provider uses Inputs or Outputs to train its own models is governed by that provider's policies and service tier, as described in Section 8.

5.5

Feedback. If you submit ideas or suggestions ("Feedback"), galleri5 may use them without restriction or compensation to you.

6. User Conduct and Restrictions

6.1

Restrictions. As a condition of use, you shall not (and shall not permit any third party to) use the Service for any unlawful purpose, or take any action or generate any Output that:

You further agree not to: (i) sell, rent, lease, sublicense, or commercially exploit the Service; (ii) modify, reverse-engineer, decompile, or attempt to derive the source code or models of the Service, except where this restriction is prohibited by law; (iii) use any automated means to scrape or download data other than your own content; (iv) interfere with the proper functioning or security of the Service; or (v) use the Service or any Output to develop, train, or improve a competing artificial-intelligence product or model.

6.3

Safety Measures. The Service and the Third-Party Providers employ safety filters and content controls on a reasonable-efforts basis only. We do not warrant that any safety measure is complete or incapable of being bypassed, and you shall not attempt to defeat, evade, or circumvent any such measure. Your responsibility for content generated where a safety measure fails or is circumvented is set out in the End User Agreement.

7. Monitoring and Moderation

7.1

Monitoring. We may, but are not obligated to, investigate, monitor, or review the Service and content to operate and secure it and to enforce these Terms. We handle Your Content in accordance with our Privacy Policy, which describes the security and access protections that apply to it.

7.2

Moderation. Without limiting the foregoing, we reserve the right, at our discretion and without liability, to:

Disclosure. Where we reasonably believe it is necessary, and to the extent permitted by law, we may disclose information in our possession to comply with legal process, enforce these Terms, respond to claims that content violates third-party rights, or protect the rights, property, or safety of galleri5, our users, or the public.

8. Third-Party AI Providers

8.1

Routing. To perform generations, the Service transmits your Inputs to one or more Third-Party Providers acting as processors, which return Outputs to us. The provider used depends on the nature of your request.

8.2

Provider Policies Govern. Each Third-Party Provider operates under its own terms and privacy and data-retention policies. Whether, to what extent, and on what basis a Third-Party Provider retains, processes, or uses Inputs or Outputs — including for the training or improvement of its own models — is determined by that provider's policies and the service tier in use, and not by galleri5.

8.3

Provider Terms Apply. We use the standard API services made available by these providers. We encourage you to review the applicable provider policies. Your use of features powered by a given provider is also subject to that provider's terms, and galleri5 is not responsible for the acts, omissions, outages, or policy changes of any Third-Party Provider.

9. Infrastructure & Security

9.1

Hosting. The Service is hosted on and operated using reputable third-party cloud infrastructure providers that offer enterprise-grade security, access controls, and compliance certifications. We rely on these protections, together with our own measures, to operate the Service and safeguard Your Content.

9.2

Processing. Some generation features may be performed within managed environments provided by such infrastructure or AI providers. Where this is the case, content processed in those environments is handled in accordance with the applicable provider's terms, as further described in Section 8 and in our Privacy Policy.

10. Indemnification

10.1

To the extent permitted by law, you shall indemnify and hold harmless galleri5 and its directors, officers, employees, agents, suppliers, and licensors from any losses, costs, liabilities, and expenses (including reasonable legal fees) relating to or arising out of: (i) Your Content and Outputs; (ii) your misuse of the Service; (iii) your circumvention or attempted circumvention of any safety measure; (iv) your violation of these Terms or the End User Agreement; (v) your violation of any export-control, sanctions, or data-protection law; or (vi) your violation of any law or any rights of another party. We may assume the exclusive defence of any matter subject to indemnification, and you will cooperate with us. This provision survives termination.

11. Disclaimer of Warranties

11.1

As Is. To the extent permitted by applicable law, your use of the Service is at your sole risk, and the Service (including any Output) is provided on an "as is" and "as available" basis, with all faults. We disclaim all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2

Outputs. We make no representation or warranty as to the originality, legality, accuracy, or fitness of any Output. You acknowledge that (i) Outputs may contain errors, omissions, or third-party content; (ii) Outputs are not pre-cleared for any commercial, advertising, or broadcast use, and obtaining any necessary clearances is your responsibility; and (iii) you are solely responsible for your use of, distribution of, or reliance on Outputs, and we disclaim all liability arising from them. Outputs do not constitute professional advice and are relied upon at your own risk.

11.3

Availability. We do not warrant that the Service will meet your requirements or be uninterrupted, timely, secure, or error-free. Unless a separate written service-level agreement applies to you, we are not liable for any unavailability, downtime, or interruption, including any resulting failure to meet a deadline or delivery schedule.

11.4

Safety Measures. Safety filters and content controls are provided on a reasonable-efforts basis, may be incomplete or capable of being bypassed, and their existence does not transfer to galleri5 any responsibility for the content you choose to generate or use.

12. Limitation of Liability

12.1

No Liability for Knock-On Losses. As far as the law allows, we are not responsible for indirect or downstream losses connected to the Service. This includes lost profits, lost revenue, lost or damaged data, lost business, or similar losses — even if you told us they might happen.

12.2

A Cap on What We Owe. As far as the law allows, there is a limit on the total amount we can be required to pay you for everything combined. That limit is the amount you paid us for the Service in the 12 months before the issue arose.

12.3

Where the Law Says Otherwise. Some places do not allow these kinds of limits. Where that is true, the limits above apply only as far as the law permits, and we do not exclude anything that cannot legally be excluded.

In plain terms: We are not responsible for downstream losses like lost profits, and there is an overall cap on what we could ever have to pay — except for anything the law does not let us limit.

13. Term and Termination

13.1

Term. These Terms commence when you first accept them and continue while you use the Service, unless terminated earlier.

13.2

Termination by galleri5. If you materially breach these Terms, or if required by law, we may suspend or terminate your access, with or without notice. All terminations for cause are made in our sole discretion.

13.3

Termination by You. You may terminate at any time by ceasing use and closing your Account, or by contacting us at support@galleri5.com.

13.4

Effect of Termination. On termination, your right to use the Service ends, and we may delete Your Content from our live databases, subject to our Privacy Policy. Provisions that by their nature should survive — including ownership, the limited licence to operate, disclaimers, limitation of liability, and indemnification — survive termination.

14. Users Outside India

14.1

The Service is controlled and offered by galleri5 from India and is global. We make no representation that the Service is appropriate or available for use in any particular location. Those who access the Service from other countries do so at their own volition and are responsible for compliance with local law.

15. General Provisions

15.1

Electronic Communications. You consent to receive communications from us electronically, and agree that electronic notices satisfy any legal requirement that such communications be in writing.

15.2

Assignment. You may not assign these Terms without our prior written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.

15.3

Force Majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, pandemics, cyber-attacks, internet or power outages, strikes, the unavailability of connected AI models, or partner or API failures.

15.4

Agreement Updates. We may update these Terms from time to time and will update the "Last updated" date and, where you have an Account, notify you. Where required, your continued use after the effective date constitutes acceptance. If you do not agree to a change, stop using the Service.

15.5

Governing Law. These Terms are governed by the laws of India. The courts of India will have jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any applicable mandatory consumer-protection law.

15.6

Waiver. Our failure to enforce any provision on one occasion is not a waiver of that or any other provision on any other occasion.

15.7

Severability. If any portion of these Terms is held invalid or unenforceable, the remaining portions remain in full force and effect.

15.8

Export Control. You represent that you are not located in any embargoed or sanctioned territory and are not on any government list of prohibited parties, and you agree to comply with all applicable export-control laws.

15.9

Entire Agreement. These Terms, together with the End User Agreement and Privacy Policy, constitute the entire agreement between you and galleri5 regarding the Service and supersede all prior agreements on the subject.
